The registration process – step-by-step

To register an LLC company in Bulgaria, you need to:

Choose a name. This must be registered using the Cyrillic alphabet with a Latin alphabet version attached (the rules of transliteration must be observed).
Detail the founders. Prepare all the information about the founder (in the case of an EOOD) or founders (OOD). At this stage, a photocopy of the passport and the address where the company will be registered will be required.
Assign a director. A director of the company does not have to be one of the founders. There can also be several directors who will have the right to manage the company together and separately.
Determine the size of the authorised capital. As well as its share distribution between the founders if you are forming an OOD.

Required Documents

The package of documents for opening a company in the form of an ООD is little different from opening an EOOD.

The list of documents and information needed when opening an EOOD are as follows:

A completed application form
A final decision on the establishment
A constituent act
Receipts of the registration fees
A bank statement on the introduction of minimum authorized capital
A notarized declaration from the director of the company that they agree to manage the company and that their signature on all documents will look like this
Signed (though not notarized) declarations that all the circumstances stated before the Trade Register are true. The declaration will also state that no one will perform actions detrimental to the company nor has ever taken actions which led to the insolvency of another company and that the company does not sell petroleum products.
If the company is not registered by you, power of attorney for an authorized person is also required

To open a company in the form of an OOD requires all of the above, plus:

The chosen director’s declaration that the data specified in the registration documents is correct
A company charter
If the registration of a company is diluted by your representative, then a power of attorney for an authorized person is required.

Your address and the required minimum capital

Bulgaria’s Commercial Law of 2009 states that the minimum authorized capital for companies like these is 2 leva. Each share should also be worth at least 1 leva.

The registered address and management of the company is required to be located in Bulgaria. If you have an apartment or other property within the country, you can register a company at this address.
